SUBSCRIPTION AND PRODUCT USE AGREEMENT

This Subscription and Product Use Agreement ("Agreement") governs access to and use of the SurveyIQ™ and HomeSurvey.ai™ services (collectively, the "Services") provided by HelixIQ, Inc. ("HelixIQ," "we," "us," or "our"). By accessing or using the Services, creating an account, uploading content, enabling integrations, participating in a free trial, or executing an order form or pricing agreement, the individual or entity ("Subscriber") agrees to be bound by this Agreement.
1. DEFINITIONS
"AI Features" means functionality that uses automated or artificial intelligence and/or machine learning models to produce outputs from inputs, including inventory generation from photos/videos and related processing.
"AI Outputs" means inventories, classifications, quantities, cubic feet, estimated weights, carton recommendations, item notes, and related outputs generated by the Services using artificial intelligence, machine learning, or automated systems.
"Customer Content" means photos, videos, images, metadata, annotations, survey notes, and other materials uploaded, transmitted, or submitted to the Services by Subscriber, Subscriber's users, or End Users.
"Data" means all information submitted to, processed by, or generated through the Services, including Customer Content, AI Outputs, audit logs, and integration event data.
"End User" means any individual (including a homeowner, resident, claimant, or customer of Subscriber) who captures or submits Customer Content through the Services at Subscriber's request or through an Integration Partner.
"Fees" means usage-based fees (including per-survey charges), subscription fees, bulk or volume-based fees, implementation fees, or custom pricing agreed in writing.
"Integration Partner" means a third-party platform, CRM, or system that integrates with the Services via APIs, webhooks, endpoints, exports, or other interfaces, including Movegistics and other CRMs.
"Integration Data" means Data transmitted between the Services and an Integration Partner, including event payloads, webhooks, API responses, exports, or metadata.
"Order Form" means any written or electronic order, pricing schedule, or agreement specifying Fees, usage limits, or commercial terms. An Order Form may be executed directly with HelixIQ or may be executed with an Integration Partner (e.g., Movegistics) where HelixIQ provides underlying processing for AI survey functionality.
"Services" means HelixIQ's AI-powered survey and inventory generation services, including review interfaces, dashboards, exports, and APIs or webhooks when made available.
"Subscriber" means the individual or legal entity accessing or using the Services.
2. SERVICES OVERVIEW
2.1 Service Description
The Services enable Subscriber to collect survey photos or videos from End Users or Subscriber personnel, generate AI-assisted inventory drafts, review and edit those drafts, and export finalized inventories in supported formats, including PDF, CSV, and integration payloads.
2.2 AI Drafts Only; Human Review Required
Subscriber acknowledges and agrees that all AI Outputs are draft outputs only and must be reviewed, verified, and approved by a human prior to use in estimates, pricing, bookings, logistics planning, dispatching, claims handling, warehousing, valuation, or operational decisions.
2.3 No Guaranteed Accuracy
HelixIQ does not guarantee the accuracy, completeness, or suitability of AI Outputs for any purpose. Subscriber assumes full responsibility for decisions made based on finalized inventories and for any downstream reliance.
2.4 No Professional Advice
The Services do not provide professional, operational, regulatory, insurance, legal, or financial advice. AI Outputs are not intended to be used as the sole basis for decisions without independent verification.
3. SERVICE AVAILABILITY, PERFORMANCE, LATENCY & DEPENDENCIES
3.1 "AS IS / AS AVAILABLE"
The Services (including AI Features and AI Outputs) are provided on an "AS IS" and "AS AVAILABLE" basis. HelixIQ does not guarantee uninterrupted availability, error-free operation, processing speed, response times, or output timing.
3.2 Latency, Delays, Variable Model Behavior
Subscriber acknowledges that AI systems and third-party infrastructure may be subject to:
- processing delays and latency (including unpredictable latency),
- variable performance and degraded accuracy under certain conditions,
- intermittent interruptions, throttling, rate limiting, or queueing,
- dependency outages (hosting, storage, compute, telecommunications, messaging/SMS/MMS gateways, email delivery, CDN, and other infrastructure).
Subscriber agrees that such latency, delays, performance variability, or interruptions do not constitute a breach of this Agreement, and HelixIQ shall have no liability arising from such conditions except as expressly provided in an Order Form.
3.3 Usage Limits; Stability Controls
HelixIQ may impose usage limits, throttles, rate limits, volume caps, and fair-use controls to maintain stability and service quality.
4. SUBSCRIBER RESPONSIBILITIES
4.1 General Responsibilities
Subscriber is solely responsible for:
- obtaining all required rights, permissions, and consents to collect, upload, and process Customer Content (including from End Users and any individuals appearing in content),
- ensuring Customer Content complies with applicable laws and regulations (privacy, recording consent, consumer protection, insurance/claims rules, etc.),
- reviewing and validating AI Outputs prior to use,
- all pricing, booking, dispatch, operations, claims, compliance, and business decisions.
4.2 End User Terms
Subscriber is responsible for ensuring End Users accept HelixIQ's End User Terms of Use when End Users submit Customer Content directly or via an Integration Partner (including Movegistics).
Acceptance may occur via click-through acceptance, continued use, or submission of Customer Content.
4.3 Prohibited Use
Subscriber shall not:
- use the Services for unlawful purposes,
- upload Customer Content without proper consent or authorization,
- misrepresent AI Outputs as final or human-generated without review,
- reverse engineer, decompile, or attempt to extract source code, models, or proprietary workflows,
- use the Services to develop or train a competing product or service using non-public aspects of the Services,
- interfere with or disrupt the Services or bypass technical limitations.
5. CUSTOMER CONTENT, CONSENT, AND SENSITIVE INFORMATION
5.1 Customer Content Responsibility
Subscriber is solely responsible for all Customer Content. Subscriber represents and warrants that it has obtained all necessary rights, permissions, and consents from individuals appearing in Customer Content and that it is authorized to submit such content for processing.
5.2 No Content Review or Validation
HelixIQ does not review, monitor, approve, or validate Customer Content prior to processing and assumes no responsibility or liability for the legality, accuracy, appropriateness, or compliance of Customer Content.
5.3 No Identity or Environment Verification
HelixIQ does not verify identity of individuals, ownership of property depicted, or legality of recording environments.
5.4 Sensitive Information
Subscriber agrees not to upload sensitive personal data (including government IDs, financial account numbers, payment card data, or health information) unless expressly permitted in writing by HelixIQ.
6. INTEGRATIONS, APIS, WEBHOOKS, AND ENDPOINTS
6.1 Integration Support
The Services may support integrations with Integration Partners (including Movegistics and other CRMs) through APIs, webhooks, endpoints, exports, or similar interfaces.
6.2 Authorization to Transmit Integration Data
Subscriber authorizes HelixIQ to transmit Integration Data to and from Integration Partners as configured by Subscriber or as required to deliver Services enabled through an Integration Partner.
6.3 No Guarantee of Delivery, Timing, or Sequencing
HelixIQ does not guarantee real-time delivery, successful transmission, ordering, sequencing, completeness, or non-duplication of Integration Data. Delays, failures, retries, missing events, or duplicate events may occur and do not constitute a breach of this Agreement.
6.4 No Responsibility for Integration Partners
HelixIQ does not control and is not responsible for the availability, security, functionality, or compliance of Integration Partners. Subscriber is responsible for configuring integrations correctly and validating any data received via integrations.
7. DATA USE, CONFIDENTIALITY, AND SECURITY
7.1 Data Processing
HelixIQ may process Customer Content and Data solely to provide, maintain, secure, and improve the Services, including troubleshooting, quality assurance, and model/service improvement consistent with this Agreement and the Privacy Policy.
7.2 Confidential Information
Each party agrees to protect the other's confidential information using reasonable care and to use such information only for purposes under this Agreement.
7.3 Security
HelixIQ implements reasonable administrative, technical, and organizational safeguards designed to protect Data. However, no system can be guaranteed completely secure.
8. DATA PROTECTION, INTERNATIONAL USE, AND DPAs
8.1 Roles
For Personal Data processed in connection with the Services:
- Subscriber is the Controller (or "business" under certain laws), and
- HelixIQ is the Processor (or "service provider/contractor" under certain laws), except where HelixIQ acts as a Controller for its own business operations (e.g., billing, account administration).
8.2 International Transfers
Data may be processed and stored in the United States and other jurisdictions. Where required, HelixIQ uses appropriate safeguards such as Standard Contractual Clauses (or equivalent mechanisms).
8.3 Data Processing Addendum (DPA)
A Data Processing Addendum may be provided upon request for Subscribers who require it for compliance (including GDPR/UK GDPR and enterprise procurement).
9. INTELLECTUAL PROPERTY
9.1 Ownership
HelixIQ retains all right, title, and interest in the Services, including software, AI models, workflows, and intellectual property.
9.2 License to Use Services
Subject to this Agreement and payment of applicable Fees, HelixIQ grants Subscriber a limited, non-exclusive, non-transferable license to use the Services.
9.3 Feedback
Subscriber grants HelixIQ a perpetual, royalty-free right to use feedback or suggestions to improve the Services.
10. FEES, BILLING, AND FREE TRIALS
10.1 Fees
Fees are specified in an applicable Order Form or published pricing schedule.
10.2 Payment Terms
Fees are due as stated in the Order Form. All Fees are non-refundable unless expressly stated otherwise.
10.3 Free Trials and Evaluations
Any free trial, pilot, or evaluation access is provided on an "AS IS" and "AS AVAILABLE" basis without SLAs. HelixIQ may limit functionality, usage, processing speed, features, or integrations during trials. Trial data may be deleted upon expiration unless Subscriber converts to a paid plan, subject to a limited export period.
11. DISCLAIMER
THE SERVICES AND AI OUTPUTS ARE PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTIES OF ANY KIND, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
12. LIMITATION OF LIABILITY
TO THE MAXIMUM EXTENT PERMITTED BY LAW, HELIXIQ'S TOTAL LIABILITY ARISING OUT OF OR RELATED TO THIS AGREEMENT SHALL NOT EXCEED THE FEES PAID BY SUBSCRIBER IN THE SIX (6) MONTHS PRECEDING THE CLAIM.
IN NO EVENT SHALL HELIXIQ BE LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST REVENUE, LOST DATA, OR BUSINESS INTERRUPTION.
13. INDEMNIFICATION
Subscriber agrees to indemnify and hold harmless HelixIQ from claims, damages, liabilities, or expenses arising out of or related to:
- Customer Content,
- lack of consent or authorization,
- reliance on AI Outputs without required review,
- Subscriber's violation of applicable laws,
- Subscriber's integrations or use of Integration Partners.
14. TERMINATION
Either party may terminate this Agreement in accordance with the applicable Order Form. Upon termination, Subscriber may export Data for a limited period, after which HelixIQ may delete it.
15. GOVERNING LAW
This Agreement shall be governed by the laws of the State of California, without regard to conflict-of-law principles.
16. GENERAL
Independent contractors; no partnership or agency; assignment permitted in connection with merger or sale; severability; entire agreement.
END OF AGREEMENT
